Welcome to Model Platform.
These Terms of Service (“Terms”) govern your access to and use of ModelPlatform.com, the Model Platform Design Studio, our websites, products, digital files, printing services, design services, customer accounts, and other services provided by Model Platform (collectively, the “Services”).
Please read these Terms carefully before using our Services.
By accessing our website, using the Design Studio, creating an account, submitting content, approving a design, placing an order, or otherwise using our Services, you agree to these Terms as well as our Privacy Policy and Returns & Refunds Policy.
If you do not agree to these Terms, please do not use the Services.
1. About Model Platform

Our Services may include:
- An online Design Studio;
- Comp card design and printing;
- Headshot design and printing;
- Web-ready and print-ready digital files;
- Customer-supplied finished artwork printing;
- Photo, artwork, or résumé uploads;
- Design, image preparation, or photo-retouching services;
- Professional printing and fulfillment;
- Shipping and delivery; and
- Related portfolio resources and educational content.
Available products, features, prices, quantities, finishes, digital options, shipping destinations, and services may change from time to time.
2. Model Platform Is Not a Modeling Agency
Model Platform is a portfolio design, digital-file, and printing service. We are not a modeling agency, talent agency, casting agency, talent manager, employment agency, or employer unless a particular service expressly states otherwise.
Purchasing a comp card, headshot, digital file, design service, or other product from Model Platform does not guarantee:
- Modeling or acting representation;
- Acceptance by an agency;
- An audition or casting opportunity;
- Employment;
- A booking;
- Income or earnings;
- Professional success;
- Acceptance of a particular design by an agency, casting office, photographer, client, or other third party; or
- Any particular career result.
Agency, casting, and industry requirements can vary. You are responsible for confirming any required size, layout, image, résumé, measurement, contact-information, or other specifications before placing your order.
3. Eligibility and Users Under 18
You must be at least 18 years old and legally capable of entering into a binding agreement to independently purchase or manage Services from Model Platform.
We recognize that parents, legal guardians, agencies, photographers, and other authorized adults may use Model Platform to create portfolio materials for models or actors who are under 18.
If you submit photographs, names, measurements, résumé information, contact details, or other information concerning a minor, you represent and warrant that you are the minor’s parent or legal guardian or otherwise have appropriate authority and permission to submit that information and authorize its use for the requested Services.
A minor should not independently place an order or provide personal information to Model Platform without appropriate adult authorization.
4. Your Account
Certain Services may allow or require you to create an account.
You agree to provide accurate, current, and complete information and to update that information when necessary.
You are responsible for:
- Maintaining the confidentiality of your username, password, and other account credentials;
- Restricting unauthorized access to your account;
- Activities that occur through your account; and
- Notifying Model Platform promptly if you believe your account has been accessed or used without authorization.
You may not impersonate another person, create an account using false information, or use another person’s account without authorization.
5. The Design Studio
The Model Platform Design Studio allows customers to create, customize, upload, preview, and approve portfolio materials.
Depending on the product, Design Studio features may include:
- Templates;
- Front and back designs;
- Vertical and horizontal orientations;
- Photo uploads;
- Photo cropping, positioning, zooming, and adjustment;
- Names, titles, contact information, measurements, and statistics;
- Résumé uploads;
- Font and text controls;
- Color options;
- Print guides, trim guides, safe-area guides, or bleed guides;
- Digital-file options;
- Printed-product options;
- Proof review and approval; and
- Upload-your-own-artwork functionality.
Design Studio previews are intended to help you review your design before production. They are not a guarantee that a computer or mobile-device display will reproduce printed color, texture, dimensions, or appearance exactly.
6. Proof Review and Customer Approval
You are responsible for carefully reviewing your design before approving it and placing your order.
Before approval, you should review all relevant information, including:
- Names;
- Professional titles;
- Agency or representation information;
- Model measurements and statistics;
- Telephone numbers;
- Email addresses;
- Websites and social media information;
- Résumé content;
- Spelling and grammar;
- Photographs;
- Photo cropping and positioning;
- Image quality;
- Front and back designs;
- Orientation;
- Quantity;
- Finish;
- Digital-file selections;
- Product selections; and
- Shipping information.
When you approve a proof or otherwise confirm that a design is ready for production, you authorize Model Platform to produce the design substantially as shown.
Customer-provided or customer-approved errors generally do not constitute production defects.
If the final product materially differs from the approved proof because of an error attributable to Model Platform or our production process, the issue may qualify for correction under our Returns & Refunds Policy.
7. Customer-Supplied Finished Artwork
If you choose to upload finished artwork rather than create a design using one of our templates, you are responsible for ensuring that your files meet the applicable printing specifications.
This may include appropriate:
- Dimensions;
- Orientation;
- Resolution;
- Bleed;
- Safe areas;
- Image quality;
- Color preparation;
- Front and back orientation; and
- File type.
Model Platform may identify an obvious technical issue when reasonably possible, but we are not obligated to identify every error in customer-supplied finished artwork.
Approval or acceptance of an uploaded file does not transfer responsibility for customer-created design mistakes to Model Platform.
8. Image Resolution and Quality
The quality of a printed or digital product depends in part on the quality of the files you provide.
Low-resolution, heavily compressed, blurry, poorly exposed, incorrectly cropped, or otherwise low-quality source images may affect the final result.
Model Platform may provide warnings, recommendations, or design guidance, but you remain responsible for selecting appropriate source photographs and artwork unless we specifically agree to provide image-correction or retouching services.
9. Color, Trimming, and Commercial Printing Variation
Computer monitors, phones, tablets, browsers, display settings, digital files, printing equipment, paper, coatings, and production processes reproduce colors differently.
For that reason, exact screen-to-print color matching cannot be guaranteed.
Commercial printing may also involve reasonable production tolerances relating to trimming, cutting, alignment, placement, color, coating, and other physical characteristics.
Minor variations that fall within normal commercial printing tolerances generally do not constitute defects.
Nothing in this section excuses a material printing or production error for which Model Platform is responsible.
10. Your Content
“Customer Content” means photographs, portraits, artwork, logos, graphics, text, names, measurements, statistics, résumé information, contact information, finished designs, and other materials that you upload, enter, submit, or provide to Model Platform.
You retain ownership of the Customer Content you own.
Submitting Customer Content to Model Platform does not transfer ownership of that content to us.
11. Permission to Use Customer Content to Provide Your Order
By providing Customer Content, you grant Model Platform a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, crop, resize, format, convert, transmit, store, process, and otherwise handle that content as reasonably necessary to:
- Operate the Design Studio;
- Create previews and proofs;
- Produce your designs;
- Create digital files;
- Perform requested design or retouching services;
- Send production files to printing or fulfillment providers;
- Manufacture your order;
- Deliver your order;
- Provide customer support;
- Troubleshoot problems;
- Maintain reasonable business records;
- Process a reorder when requested; and
- Otherwise provide the Services you requested.
This license does not give Model Platform ownership of your photographs or other Customer Content.
12. Your Rights to Uploaded Content
By submitting Customer Content, you represent and warrant that you have all rights, permissions, licenses, releases, and authority reasonably necessary to submit the content and authorize Model Platform to use it to provide the Services.
This includes, where applicable, permission relating to:
- Photographs;
- Photographers’ copyrights;
- Models or other identifiable people appearing in photographs;
- Agency names or logos;
- Business names or logos;
- Artwork and illustrations;
- Fonts or graphic assets included in finished artwork;
- Trademarks;
- Résumés and professional information; and
- Information concerning minors.
For example, purchasing photographs from a photographer does not always mean that copyright ownership has been transferred to you. You are responsible for determining whether you have sufficient rights to reproduce and print the images you submit.
13. Public Display and Promotional Use
Submitting photographs, artwork, or a design for an order does not, by itself, give Model Platform permission to use that material publicly in advertising or promotional materials.
If Model Platform would like to feature a customer’s finished comp card, headshot, testimonial, photograph, or other work in a public gallery, social-media post, advertisement, portfolio, or similar promotional use, we will obtain appropriate permission or otherwise ensure that we have the legal right to do so.
Public examples may have personal contact information removed or obscured for privacy and security.
14. Prohibited Content and Conduct
You may not use Model Platform to upload, produce, transmit, order, or distribute content that:
- Violates applicable law;
- Infringes another person’s copyright, trademark, publicity, privacy, or other rights;
- You do not have permission to reproduce;
- Is fraudulent or deceptive;
- Contains malicious software, viruses, or harmful code;
- Attempts to interfere with, disable, damage, or gain unauthorized access to our website, servers, accounts, or systems;
- Impersonates another person or misrepresents your authority;
- Is submitted as part of unlawful, abusive, exploitative, or harmful conduct; or
- Would cause Model Platform or its service providers to violate applicable law or contractual requirements.
We may refuse, cancel, remove, or decline to produce content that we reasonably believe violates these Terms, applicable law, third-party rights, or the requirements of our payment, hosting, printing, fulfillment, or other service providers.
15. Copyright and Intellectual Property Complaints
Model Platform respects intellectual-property rights.
If you believe material associated with Model Platform infringes a copyright, trademark, or other intellectual-property right that you own or are authorized to enforce, please contact:
hello@modelplatform.com
Please provide enough information for us to reasonably investigate the complaint, including:
- Your name and contact information;
- Identification of the protected work or right;
- Identification of the allegedly infringing material;
- Where the material appears;
- An explanation of why you believe the use is unauthorized;
- A statement that the information you provide is accurate; and
- Confirmation that you are the rights holder or authorized to act for the rights holder.
We may request additional information before taking action.
16. Model Platform Intellectual Property
Except for Customer Content and third-party materials, the Model Platform website, Design Studio, software, interfaces, templates, layouts, graphics, branding, logos, text, functionality, design systems, and other proprietary materials are owned by Model Platform or used under license and are protected by applicable intellectual-property laws.
Using Model Platform does not transfer ownership of our technology, templates, software, branding, or other intellectual property to you.
You may not, except as permitted by law or with our written authorization:
- Copy or reproduce our Design Studio;
- Extract or redistribute templates as standalone products;
- Sell or sublicense our templates;
- Reverse engineer or attempt to extract source code from our software;
- Scrape the website using unauthorized automated means;
- Remove copyright, trademark, or proprietary notices;
- Use Model Platform branding in a misleading manner; or
- Use our intellectual property to create a competing service by copying protected elements of our Services.
17. Rights to Your Finished Digital Product
When you purchase a completed digital comp card, headshot, or similar customized file, Model Platform grants you a non-exclusive license to use the completed file for its intended professional and personal promotional purposes.
Subject to rights in third-party content and the rights you hold in your own photographs and materials, this generally allows you to:
- Send the completed file to modeling or talent agencies;
- Send it to casting directors or prospective clients;
- Include it with professional submissions;
- Share an appropriate digital version online;
- Use it for your professional portfolio; and
- Print a print-ready file for your own professional promotional use where the purchased file type permits printing.
This license does not give you the right to extract, redistribute, resell, sublicense, or commercially exploit Model Platform templates or design elements as standalone assets.
18. Prices
Prices are displayed on ModelPlatform.com, in the Design Studio, or during checkout.
Prices may vary based on factors such as:
- Product type;
- Quantity;
- Print specifications;
- Finish;
- Digital-file options;
- Design or retouching services;
- Shipping destination;
- Shipping service;
- Taxes; and
- Promotions or discounts.
We may change prices for future purchases at any time.
A price change will not ordinarily change the price of an order that has already been validly completed and accepted, except where correction is permitted or required by law.
19. Pricing and Listing Errors
We make reasonable efforts to provide accurate product descriptions, availability, and prices.
However, typographical, technical, configuration, or pricing errors may occasionally occur.
If an obvious pricing or product-configuration error affects an order, we may contact you to offer the correct terms or cancel the affected portion of the order and provide an appropriate refund.
We will not knowingly use pricing-error provisions to avoid fulfilling a correctly advertised and accepted order.
20. Promotional Codes and Discounts
Promotional codes, discounts, coupons, and special offers may be subject to additional eligibility requirements, expiration dates, product restrictions, order limits, or other conditions.
Unless otherwise stated:
- Promotions cannot be redeemed for cash;
- Promotions may not be combined with other offers;
- Promotions may apply only to eligible products;
- Promotional value is not refundable as cash; and
- We may cancel or refuse use of a promotion obtained or used fraudulently or contrary to its stated terms.
21. Taxes and Other Charges
You are responsible for taxes and other charges applicable to your purchase as required by law.
Applicable taxes may be calculated during checkout.
For international or cross-border shipments, customs duties, brokerage fees, import taxes, or similar charges, if applicable, will be handled as disclosed during checkout or as required by applicable law.
22. Payment
Payment is required through the payment methods made available during checkout.
Payments may be processed by third-party payment providers, including providers such as Stripe.
By submitting payment information, you represent that:
- You are authorized to use the payment method;
- The payment information you provide is accurate;
- You authorize the applicable charges associated with your order; and
- You authorize our payment provider to process the transaction.
Payment processing may be subject to the payment provider’s own terms, privacy policy, fraud-prevention measures, and verification requirements.
Model Platform does not generally receive or store complete payment-card numbers when payment information is collected directly by the payment processor.
23. Fraud Prevention
We may delay, review, decline, or cancel a transaction when reasonably necessary to investigate suspected fraud, unauthorized payment activity, account misuse, security concerns, or violations of these Terms.
We may request additional information reasonably necessary to verify an order.
If an order is canceled by Model Platform because we cannot reasonably complete the transaction, amounts collected for the canceled portion will be refunded as appropriate and as required by law.
24. Order Acceptance
Submitting an order does not require Model Platform to accept or fulfill an order that cannot legally or reasonably be processed.
We may decline or cancel an order in circumstances including:
- Suspected fraud;
- Unauthorized payment;
- A material pricing or technical error;
- Unlawful or infringing Customer Content;
- Content we or our production partners are unable or unwilling to produce;
- Product or material unavailability;
- A technical failure;
- Incorrect product configuration;
- A violation of these Terms; or
- Another circumstance that makes fulfillment unlawful or impracticable.
If Model Platform cancels an order that has been paid and will not be fulfilled, we will provide an appropriate refund for the canceled portion.
25. Changes and Cancellations
Custom orders may begin processing quickly after checkout.
If you need to change or cancel an order, contact support@modelplatform.com as soon as possible.
If production has not started, we may be able to make a change or cancel the order. Changes and cancellations are not guaranteed.
Once an order has entered production, has been submitted to a printing or production provider, or a custom digital product has been generated or delivered, cancellation generally is no longer available except where required by law or provided under our Returns & Refunds Policy.
A cancellation request is not effective until Model Platform confirms the cancellation.
Additional information is available in our Returns & Refunds Policy.
26. Custom Products and Returns
Printed comp cards, headshots, and other personalized products are created specifically for the customer and ordinarily have no resale value.
For that reason, custom products are generally final sale once they enter production.
This does not eliminate your rights if Model Platform or our production partners make a verified error or if applicable law requires another remedy.
Problems with printed orders should be reported to Model Platform within 5 business days after delivery so that we can investigate promptly.
Our complete rules for production errors, damaged products, shipping issues, digital files, cancellations, reprints, credits, and refunds are contained in our:
Returns & Refunds Policy
That policy is incorporated into these Terms.
27. Digital Products
Customized digital products may include web-ready files, print-ready files, digital comp cards, digital headshots, and other downloadable or electronically delivered products.
Because a digital product cannot be physically returned, customized digital-product purchases are generally final once the file has been generated, made available, or delivered.
If a digital product is materially defective because of an error attributable to Model Platform, we will review the issue in accordance with our Returns & Refunds Policy.
28. Printing and Production Partners
Model Platform may use third-party professional printers, production facilities, fulfillment companies, software providers, and related service providers to complete orders.
By ordering a printed product, you authorize Model Platform to transmit the production files and information reasonably necessary to produce and fulfill your order.
Model Platform remains your point of contact for customer-service issues concerning orders placed directly through Model Platform.
If there is a problem with your order, please contact Model Platform rather than contacting our production provider unless we specifically instruct you otherwise.
29. Shipping
Shipping options, destinations, charges, and estimated delivery information will be provided on the website, in the Design Studio, or during checkout when applicable.
Shipping time and production time are separate.
An estimated carrier transit time begins after an order has completed production and is transferred to the carrier unless otherwise stated.
Customers are responsible for providing a complete and accurate delivery address.
If you discover an address error, contact us immediately. We will attempt to make a correction if the shipment has not been finalized, but we cannot guarantee that an address can be changed once fulfillment or shipping has begun.
30. Shipping Delays
Delivery estimates are provided in good faith based on available production schedules and carrier information.
Delivery may be affected by circumstances such as:
- Carrier delays;
- Weather;
- Natural disasters;
- Service interruptions;
- Customs processing;
- Incorrect delivery information;
- High-volume periods;
- Labor disruptions;
- Government actions; or
- Other circumstances outside our reasonable control.
If Model Platform becomes unable to ship merchandise within a promised timeframe, we will provide any delay notice, cancellation option, refund, or other remedy required by applicable law.
If you have a casting, audition, event, travel date, photoshoot, agency meeting, or other deadline, you should order sufficiently early to allow time for both production and unexpected shipping delays.
31. Expedited Shipping
When expedited carrier options are available, they generally apply to transportation after production is complete unless the applicable product expressly includes expedited production.
Purchasing expedited shipping does not automatically accelerate printing or production.
Carrier estimates are not guarantees by Model Platform unless expressly identified as guaranteed.
32. Lost, Damaged, or Missing Shipments
If an order is damaged, lost, materially incomplete, or otherwise affected during shipping, please follow the procedures in our Returns & Refunds Policy.
We may need photographs, packaging, shipping labels, tracking information, or other documentation to investigate a claim with the carrier or production provider.
33. Design and Retouching Services
When Model Platform performs custom design, retouching, artwork preparation, or another personalized creative service, the service may involve professional or artistic judgment.
Customer preference alone does not necessarily establish that a service is defective when the service was performed in substantial accordance with the agreed description, instructions, or approved proof.
Fees for customized work that has already begun or been completed may be non-refundable as described in our Returns & Refunds Policy.
34. Privacy
Your privacy is important to us.
Our collection, use, disclosure, storage, and handling of personal information is described in our:
Privacy Policy
The Privacy Policy is incorporated into these Terms.
By using the Services, you acknowledge that personal information will be handled as described in the Privacy Policy and as otherwise permitted or required by law.
35. Third-Party Services
Model Platform relies on third-party services for functions that may include:
- Payments;
- Website hosting;
- Ecommerce functionality;
- Email;
- Analytics;
- Security;
- Printing;
- File processing;
- Fulfillment; and
- Shipping.
Your use of some third-party services may also be subject to the third party’s applicable terms and privacy policies.
Model Platform is not responsible for the independent acts, policies, websites, or services of third parties except to the extent responsibility cannot legally be excluded.
36. Third-Party Links
ModelPlatform.com may contain links to modeling agencies, casting resources, social networks, photographers, payment providers, industry resources, or other third-party websites.
A link does not necessarily constitute an endorsement, partnership, sponsorship, or guarantee.
Model Platform does not control third-party websites and is not responsible for their availability, content, privacy practices, products, representations, or services.
You should review the terms and privacy policies of third-party services before using them.
37. Educational and Informational Content
Model Platform may publish articles, guides, examples, measurements information, portfolio advice, modeling resources, and other educational content.
This content is provided for general informational purposes and does not constitute legal, financial, employment, agency, career, or professional representation advice.
Industry practices vary by market, agency, client, country, and project.
You should follow the specific requirements of the agency, casting director, employer, photographer, or professional with whom you are working.
38. Availability of the Services
We work to keep Model Platform and the Design Studio available and functioning properly, but we cannot guarantee uninterrupted operation.
The Services may occasionally be unavailable because of:
- Maintenance;
- Updates;
- Software errors;
- Hosting problems;
- Internet outages;
- Third-party service failures;
- Security incidents; or
- Other technical circumstances.
We may modify, update, replace, discontinue, or temporarily suspend features when reasonably necessary.
39. Changes to Products and Services
We may change or discontinue products, templates, Design Studio functionality, quantities, finishes, digital options, production methods, suppliers, pricing, or other Services.
Changes generally apply prospectively and do not eliminate obligations associated with orders we have already accepted unless modification is necessary because of circumstances outside our reasonable control or is permitted by applicable law.
40. Suspension or Termination
We may restrict, suspend, or terminate access to an account or Service if we reasonably believe a user:
- Has materially violated these Terms;
- Has engaged in fraud or unauthorized payment activity;
- Has infringed intellectual-property rights;
- Has attempted to compromise the security of Model Platform;
- Has used the Services for unlawful or abusive purposes;
- Has interfered with other customers or the operation of the Services; or
- Creates a material legal, security, or operational risk.
Where appropriate, we may provide notice or an opportunity to correct a violation before termination.
Termination does not eliminate payment obligations, intellectual-property obligations, dispute provisions, or other terms that by their nature should survive termination.
41. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the website, Design Studio, and other online Services are provided on an “as is” and “as available” basis.
Model Platform does not warrant that:
- The website will always be available or uninterrupted;
- Every software feature will always operate without error;
- Every browser or device will display the Services identically;
- A portfolio product will result in professional representation, bookings, employment, or career success; or
- A particular agency, casting office, employer, or other third party will accept a particular design or format.
Nothing in these Terms eliminates any warranty, remedy, or consumer right that cannot legally be excluded.
42. Limitation of Liability
To the fullest extent permitted by applicable law, Model Platform and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages arising from your use of the Services, including loss of opportunity, lost profits, lost bookings, lost employment opportunities, reputational loss, or loss of business, where such damages may legally be excluded.
For claims arising directly from a paid Model Platform order, and except where applicable law requires otherwise, Model Platform’s aggregate liability relating to that order will not exceed the amount you paid Model Platform for the portion of the order giving rise to the claim.
The limitations in this section do not apply to liability that cannot lawfully be limited or excluded, which may include liability arising from fraud, willful misconduct, gross negligence, certain personal injuries, or statutory consumer rights depending on applicable law.
43. Customer Responsibility and Indemnification
To the fullest extent permitted by law, you agree to be responsible for claims, losses, liabilities, damages, and reasonable costs arising from your unlawful use of the Services or from Customer Content that violates another person’s rights.
This may include claims arising because you:
- Submitted photographs you did not have permission to reproduce;
- Used copyrighted artwork without authorization;
- Used a trademark or logo without appropriate rights;
- Provided personal information about another person without authority;
- Misrepresented your authority to act for a minor;
- Violated applicable law; or
- Materially violated these Terms.
Model Platform reserves the right to control the defense of a third-party claim where legally appropriate, and you agree to provide reasonable cooperation.
44. Chargebacks and Payment Disputes
If you believe there is a problem with an order or charge, we encourage you to contact Model Platform first so that we can investigate and attempt to resolve the issue.
Knowingly initiating a fraudulent chargeback or payment dispute for an order that was properly authorized and fulfilled may constitute a violation of these Terms.
Nothing in this section prevents you from exercising legitimate rights provided by your card issuer, financial institution, payment provider, or applicable law.
45. Events Outside Our Reasonable Control
Model Platform will not be responsible for a delay or failure caused by circumstances outside our reasonable control to the extent permitted by law.
These circumstances may include:
- Natural disasters;
- Severe weather;
- Fire;
- Flood;
- War or civil unrest;
- Government actions;
- Labor disruptions;
- Carrier interruptions;
- Internet or telecommunications failures;
- Cyberattacks;
- Widespread infrastructure failures;
- Material shortages;
- Production-facility disruptions; or
- Other events beyond our reasonable control.
This section does not eliminate any cancellation, refund, shipping, or consumer rights required by applicable law.
46. Electronic Communications
By using Model Platform electronically, you agree that we may provide agreements, disclosures, receipts, order confirmations, proof notices, shipping notices, policy updates, and other communications electronically when permitted by law.
You are responsible for maintaining an accurate email address and for reviewing communications relating to your orders.
Marketing communications are governed separately by your marketing preferences and our Privacy Policy.
47. Changes to These Terms
We may update these Terms periodically to reflect changes to our Services, technology, business practices, or applicable law.
When we update these Terms, we will update the Last Updated date at the top of this page.
Material changes will apply prospectively unless applicable law requires otherwise.
The version of the Terms in effect when you place an order generally governs that transaction, subject to applicable law and any terms specifically agreed to in connection with the order.
Your continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by law.
48. Relationship Between Our Policies
These Terms should be read together with other Model Platform policies and information applicable to your purchase, including our:
If product-specific terms expressly conflict with these general Terms, the more specific terms will generally control for that product or transaction to the extent permitted by law.
49. No Waiver
If Model Platform does not immediately enforce a provision of these Terms, that does not mean we waive the right to enforce it later.
A waiver is effective only when made by an authorized representative and applies only to the particular circumstance for which it was given.
50. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where possible.
The remaining provisions will continue in effect.
51. Assignment
You may not transfer or assign your rights or obligations under these Terms to another person without our consent when such consent may lawfully be required.
Model Platform may assign these Terms in connection with a merger, acquisition, restructuring, sale of business assets, or similar business transaction, subject to applicable law.
52. Entire Agreement
These Terms, together with incorporated Model Platform policies and any product-specific terms presented during your transaction, constitute the agreement between you and Model Platform concerning the Services covered by those documents.
They replace prior versions of our general Terms regarding the same subject matter.
53. Governing Law
To the extent permitted by applicable law, these Terms and disputes arising from them will be governed by applicable United States federal law and the laws of the state in which Model Platform maintains its principal place of business, without regard to conflict-of-law principles.
Nothing in this provision deprives a consumer of protections that cannot legally be waived under the laws applicable to that consumer.
54. Venue and Disputes
Before filing a legal claim, you and Model Platform are encouraged to make a reasonable good-faith effort to resolve the dispute directly.
You may contact us at hello@modelplatform.com and provide your name, order number if applicable, a description of the dispute, and the resolution you are requesting.
Unless applicable law requires otherwise, a legal proceeding arising from these Terms may be brought in a court of competent jurisdiction serving the location of Model Platform’s principal place of business.
Nothing in these Terms prevents either party from using a small-claims court when the claim qualifies, or from exercising another right that cannot legally be waived.
55. Consumer Protection Rights
Nothing in these Terms is intended to waive, restrict, or eliminate any statutory consumer-protection right that cannot legally be waived.
If a provision of these Terms conflicts with a mandatory consumer-protection law that applies to you, the mandatory legal requirement will control to the extent of that conflict.
